Thanks Nightmare - I will have to give this a shot.  I hope it is not the GPU, but I am starting to think it might be.  If this fails, I am putting my old card back in to test and see if it works ok.  If the old card works, then the new one might be bad.

I posted the results of a Who Crahed report above.....here are 2 below.  once is from December and the other is from just yesterday.

On Sat 1/28/2012 10:33:01 PM GMT your computer crashed

crash dump file: C:\Windows\Minidump\012812-9001-01.dmp

This was probably caused by the following module: watchdog.sys (watchdog+0xA577)

Bugcheck code: 0x117 (0xFFFFFA800CB674E0, 0xFFFFF8800F9D69C8, 0x0, 0x0)

Error: VIDEO_TDR_TIMEOUT_DETECTED

file path: C:\Windows\system32\drivers\watchdog.sys

product: Microsoft® Windows® Operating System

Bug check description: This indicates that the display driver failed to respond in a timely fashion.

The crash took place in a standard Microsoft module. Your system configuration may be incorrect. Possibly this problem is caused by another driver on your system which cannot be identified at this time.

On Sat 12/31/2011 2:00:43 AM GMT your computer crashed

crash dump file: C:\Windows\Minidump\123011-8127-01.dmp

This was probably caused by the following module: nvlddmkm.sys (nvlddmkm+0xC3BAE4)

Bugcheck code: 0x116 (0xFFFFFA801267A010, 0xFFFFF8801004EAE4, 0xFFFFFFFFC000009A, 0x4)

A third party driver was identified as the probable root cause of this system error. It is suggested you look for an update for the following driver: nvlddmkm.sys (NVIDIA Windows Kernel Mode Driver, Version 285.62 , NVIDIA Corporation).

Google query: nvlddmkm.sys NVIDIA Corporation VIDEO_TDR_ERROR

I have NOT overclocked anything on this PC - everything is set as it was when I first booted up - no tweaks to speed at all.

I've had some shit yesterday and when I was looking into the Eventvwr, it showed it was the Intel's  IaStor.sys. As you might have Intel drivers, these drivers that I found below helped it:

For RAID drivers (even if you don't RAID) :

http://www.station-drivers.com/page/intel%20raid.htm

And the latest chipset here:

http://www.station-drivers.com/page/intel%20chipset.htm

(below the main list)

Well this may seem like overkill, but I did see this post when Googling your error that I did not see the other day. A lot of information there maybe something will help you out.

ok, I may have fixed it.  I just played COD4 for about an hour and a half with NO crashes!!!  I took a different route.  I kep the most recent Drivers, but I changed my Desktop Theme to something other than Aero.  That Theme causes all kinds of problems with software and graphics.  I thought I would give it a shot.  I also increased the voltage on my graphics card to 1.050. I was thinking it sounded like a voltage issue, and I saw that this helped some other folks as well.

Hopefully that will be it!!!!   I will update and let you know.  Thanks for the help!!!

What are your card temps running in furmark?

Are you running a program like speedfan or precision to scale your fan speed?
